These Terms and Conditions (“Terms”) govern your access to and use of the PromptInk.ai website, application, and related services (collectively, “PromptInk”, “we”, “our”, or “us”). By accessing or using any part of our website or app, including joining our waitlist or interacting with our services via advertisements, you agree to these Terms. If you do not agree, do not use our services.

These Terms apply to visitors of our website and users of the PromptInk.ai app on Shopify.

1. Service Overview

PromptInk.ai is an AI-powered design tool for Shopify merchants, enabling customers to generate custom, print-ready merchandise designs using text prompts. PromptInk integrates with platforms such as Shopify and Printful to streamline design and fulfillment workflows.

2. Eligibility

You must be at least 18 years old to use our site or services. If you use PromptInk on behalf of a business or other legal entity, you confirm you have the authority to bind that entity to these Terms.

3. Use of Services

By using PromptInk.ai, you agree not to:

  • Violate any applicable law or regulation
  • Use AI-generated content for unlawful, harmful, defamatory, or offensive purposes
  • Attempt to interfere with the operation of the platform
  • Reverse-engineer or tamper with our software or APIs

We reserve the right to suspend or terminate access at our discretion.

4. AI-Generated Content Disclaimer

PromptInk.ai uses artificial intelligence to generate images and designs. You understand and agree that:

  • Generated content may resemble existing imagery unintentionally
  • You are solely responsible for reviewing and approving content before using or selling it
  • PromptInk.ai makes no guarantees regarding copyright ownership or uniqueness of generated designs

We advise users to conduct their own legal due diligence when using generated content for commercial purposes.

5. Intellectual Property

All content on this site (excluding AI-generated content you create), including text, graphics, logos, and code, is the property of PromptInk.ai or its licensors and is protected by applicable intellectual property laws.

You may not reproduce, distribute, or create derivative works from our platform without written consent.

6. Advertising and Retargeting

PromptInk.ai may use cookies and other tracking technologies to serve personalized ads and retargeting campaigns via platforms including but not limited to Facebook (Meta), Instagram, TikTok, YouTube, X (formerly Twitter), and Google.

By using our site, you agree to:

  • Our use of tracking technologies for advertising and analytics
  • Our ability to send marketing emails, which you may opt out of at any time

PromptInk.ai is not affiliated with any of these platforms. All trademarks remain the property of their respective owners.

7. Shopify Disclaimer

PromptInk.ai is an independent application designed to integrate with the Shopify ecosystem. It is not affiliated with or endorsed by Shopify Inc.

Use of PromptInk through the Shopify App Store is subject to Shopify’s own terms and conditions.

8. Cookie Policy

We use cookies to:

  • Support retargeting via third-party platforms

10. Limitation of Liability

To the maximum extent permitted by law, PromptInk.ai shall not be liable for any indirect, incidental, consequential, or punitive damages arising from:

  • The use or inability to use our services
  • Any content generated or published through our tools
  • Loss of data, revenue, or business opportunity

Our total liability shall not exceed any amount paid to us in the three (3) months preceding the event giving rise to the claim.

11. Termination

We reserve the right to terminate your access to the site or services at any time, without notice, for any violation of these Terms or any applicable law.

12. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Erie County, New York.

13. Changes to These Terms

We may update these Terms at any time. Changes will be posted on this page with a revised effective date. Continued use of our website or services constitutes acceptance of the new Terms.

15. Data Processing Agreement (DPA)

  1. Roles and Scope
    For the purposes of applicable data protection laws, the merchant (“Controller”) determines the purposes and means of processing personal data, and PromptInk.ai (“Processor”) processes such data solely on behalf of and under the instructions of the merchant.
  2. Nature and Purpose of Processing
    PromptInk.ai processes personal data to enable app functionality, including design generation, product synchronization, and order fulfillment through third-party services such as Shopify and Printful.
  3. Sub-Processors
    PromptInk.ai may engage trusted third parties (“Sub-Processors”) to perform specific processing activities. Current Sub-Processors include:
    • Shopify Inc. – store integration
    • Printful Inc. – product fulfillment
    • Brevo – email delivery
    • Google Analytics – analytics
      PromptInk.ai ensures all Sub-Processors comply with equivalent data protection obligations.
  4. Security and Confidentiality
    PromptInk.ai implements appropriate technical and organizational measures to protect personal data against unauthorized access, disclosure, alteration, or destruction.
  5. Data Subject Rights and Deletion
    Upon request or upon app uninstallation, PromptInk.ai deletes or returns all personal data related to the merchant’s store within 30 days, consistent with Shopify’s GDPR webhooks.
  6. International Data Transfers
    When data is transferred outside the EEA, PromptInk.ai and its Sub-Processors rely on lawful transfer mechanisms such as Standard Contractual Clauses (SCCs) or equivalent safeguards.
  7. Liability
    Each party’s aggregate liability under this DPA shall be subject to the limitations set out in the Terms of Service.
